CERTIFICATE OF INCORPORATION

KARTUS-BERIEZER YOUNG MEN’S BENEVOLENT ASSOCIATION

     WE, the undersigned, of full age, being desirous of A S S O C I A T I N G ourselves together for the purposes as hereinafter more particularly described, pursuant to and in conformity with acts of the Legislature of the State of New York, relating to Membership Corporations, DO hereby certify and declare that we are of full age,  two-thirds of us are citizens of the United States and ALL of us residents of the State of New York.

     WE do further certify and declare as follows: --

FIRST: That the particular objects for which said Corporation is formed are as follows, viz:-

     TO PROMOTE SOCIABILITY AND ENGENDER GOOD FEELINGS AND BROTHERLY LOVE AMONG ITS MEMBERS; TO AID IT MEMBERS V O L U N T A R I L Y  IN TIME OF NEED AND DISTRESS; TO MAINTAIN A COMMON MEETING PLACE, WHERE ITS MEMBERS MAY GATHER AT CERTAIN INTERVALS OR MEETINS FOR BENEVOLENT AND SOCIAL PURPOSES AND TO ADOPT BY-LAWS, BY WHICH SAID A S S O C I A T I O N  MAY BE GOVERNED.

SECOND: That the Corporate name by which said CORPORATION hereby is to be formed shall be known and distinguished IS and SHALL be

     "K A R T U S – B E R I E Z E R "   Y O U N G   M E N ‘ S   B E N E V O L E N T   A S S O C I A T I O N

(The words “KARTUS-BERIEZER” being the name of a certain Town in Russia, located in the State of Kobrin, Government of Grodno, which is the native town of the within Incorporators, whence they all arrived from.)

THIRD:    That the territory in which the CORPORATION  is to operate and where its Operations are principally to be IS and WILL  be the Boroughs of Manhattan, Bronx and Brooklyn, City of New York.

FOURTH: That the principal offices of said CORPORATION shall be located in the Borough of Manhattan, City of New York, County of New York and State of New York.

FIFTH    That the number of DIRECTORS of said CORPORATION shall be SIX.

SIXTH: That the names and places of residences of the persons or individuals to be D I R E C T O R S of the CORPORATION, until its first annual meeting are:

     In the testimony whereof We have made and signed this CERTIFICATE in duplicate and have hereunto set out hands and affixed our respective seals this Nineteenth day of August, one thousand nine hundred and seven.
